Terms and conditions

Last updated: 3 October 2026

These terms are the contract between you and the provider of the LexAlia service. By opening an account or using the service you accept them. If you do not agree, do not use the service. This is a translation; the Romanian version prevails.

1. Who provides the service

LexAlia (the “Service”) is provided by:

FOTACHE DĂNUȚ-MIHAI PERSOANĂ FIZICĂ AUTORIZATĂ
Tax identification code: RO46286840
Trade Register number: F23/454/2022
Professional seat: Str. Carpenului nr. 3, camera 3, Voluntari, județul Ilfov, 077190
E-mail: danutfotache@gmail.com

In these terms, “we” and “the Provider” mean the person above, and “you” and “the Customer” mean the professional who opens the account and, where applicable, the business on whose behalf they act.

2. What the Service is

LexAlia is a software application provided as a service (software as a service). It automatically follows official sources of legislation in Romania and the European Union, detects new acts and amendments, produces comparisons between versions and automatically generated summaries using artificial intelligence, and automatically matches acts against the details you confirm about your business, in particular its CAEN codes.

The Service is fully automated. We do not give consultations, do not analyse individual situations and do not answer questions about how the law applies to specific cases.

The exact content of each plan is as described on the pricing page on the date you use it.

3. The Service is not legal advice

The summaries, the automatic matches (“relevant”, “may be relevant”, “not relevant”) and the deadlines taken from the acts are for information only. They are NOT legal, tax, accounting or any other professional advice, and they do not replace a lawyer, a tax adviser or an accountant.

They are produced automatically and may be wrong, incomplete or out of date. An act may concern you even if the Service indicates otherwise, and the absence of a notification does not mean you have no obligation. A “not relevant” label is not a guarantee.

For every summary we link to the official version it was generated from. The only text with legal effect is the one officially published. You remain solely responsible for checking it and for the decisions you take.

4. Who it is for: businesses only (B2B)

The Service is offered exclusively to professionals: companies, sole traders, individual and family enterprises, liberal professions and other persons using it in the course of their commercial, industrial or professional activity. It is not offered to consumers, meaning natural persons acting for purposes outside their professional activity.

By opening an account you state that you are acting as a professional and, if you open it for a business, that you are entitled to represent it. If that statement is untrue we may close the account.

5. The account

To use the Service you register with a valid email address and the CUI of the business you open the account for, and you give correct details about the business. You may only use the CUI of a business you represent or are authorised to use the Service for. You are responsible for keeping your sign-in details confidential and for everything done in your account.

A free account and a Business subscription cover one business. An account may not be shared between people from different businesses.

6. Plans and prices

The free plan emails you when an act is linked to your business's CAEN codes, with the name and number of the act. It does not include access to the application or the link to the official text.

Paid plans are those described, with their prices, on the pricing page. Prices are in euro and exclude VAT, which is added as required by law.

We may change prices. A change applies to your subscription from the next renewal and is communicated to you by email at least 30 days in advance. If you do not agree you may cancel the subscription before the new price applies.

7. Payment, renewal and cancellation

Paid subscriptions are sold through Paddle (Paddle.com Market Limited and its affiliates), our authorised reseller, acting as Merchant of Record. Paddle takes the payment, issues the invoice and collects VAT. Paddle's buyer terms also apply to the order: www.paddle.com/legal/checkout-buyer-terms.

Paddle issues the invoice in the company's name, with its name, CUI, VAT number (if any) and registered office, as taken from ANAF. For a company registered for VAT with a number valid in VIES, reverse charge applies and the invoice carries no VAT. For a company or sole trader not registered for VAT, Paddle adds the VAT applicable in Romania.

Subscriptions renew automatically at the end of each billing period (monthly or annual) until you cancel. You may cancel at any time; cancellation takes effect at the end of the period already paid for, until which you keep access.

If a payment fails we may restrict or suspend access to paid features until it is settled. When a subscription ends the account returns to the free plan; what you have set up is not deleted.

8. Refunds

Refunds are handled under the Refund policy, which forms part of these terms.

9. The free month of Business

Every business may receive, once, 30 days of full access to the application, free of charge. The free month starts when the account is opened, if you choose it then, or at any time after from the account's Subscription page. The period creates no obligation to pay, does not turn into a subscription automatically and ends by itself on the date we email you. After that the account returns to the free plan, and access to the application continues only with a paid subscription.

The free month is given once per business, identified by its CUI, whatever account or email address is used. A CUI that has already had it can open a new account, but without the free month.

Separately, we may at our discretion open full access for a limited period to a free account, on the same terms. We may withdraw free access if the CUI was used without the right to do so.

10. Sources, coverage and availability

The data comes from official sources we do not control. They may be unavailable, publish late or change format, and some acts or annexes may be missing or collected late. We do not guarantee that the Service covers every act, every field or every source.

The Service is provided “as is” and “as available”. We do not guarantee uninterrupted or error-free operation, nor any particular response or notification delivery time, and we offer no service level agreement (SLA). We may change, add or remove features.

To the extent permitted by law, we exclude any warranty not expressly set out in these terms, including implied warranties of quality or fitness for a particular purpose.

11. Limitation of liability

We are not liable for: (a) decisions taken or not taken on the basis of information in the Service; (b) fines, penalties, interest, surcharges or other sanctions; (c) loss of profit, revenue, customers, data or opportunity; (d) any indirect or consequential loss; (e) errors, delays or unavailability of official sources or of third-party providers.

Our total liability to you for all claims arising out of or in connection with the Service, on whatever basis, is limited to the greater of: (i) the total amounts you paid for the Service in the 12 months before the event giving rise to the claim, and (ii) 50 euro.

These limitations do not apply to damage caused intentionally or by gross negligence, nor to harm to life, physical integrity or health, nor in any other case where the law does not allow liability to be limited.

Any claim must be notified to us in writing within 12 months of the date on which you knew or should have known of the event giving rise to it.

12. Intellectual property

The texts of legal acts are public and do not belong to us. The application, the database, its structure, the summaries, matches, comparisons and the other material we produce belong to us or to our licensors.

We grant you a non-exclusive, non-transferable, revocable licence to use the Service and its content for the internal needs of your business for as long as the account exists. You may not resell the content or make it available to other businesses.

13. Acceptable use

You may not: (a) extract content automatically or in bulk, or use it to build a competing database or service; (b) resell, publish or redistribute the content as your own product; (c) use the content to train artificial intelligence models; (d) circumvent plan limits or technical protection measures; (e) share the account with people outside the business; (f) disrupt the Service or attempt to access data that is not yours; (g) use the Service unlawfully.

14. Suspension and termination

You may close your account at any time from Settings. Closing it deletes personal data as described in the Privacy policy and does not entitle you to a refund of the remaining period.

We may suspend or close the account with immediate effect if you breach these terms, if a payment remains unpaid, if the statement about acting as a professional is untrue, or if the law requires it. We may stop providing the Service, in whole or in part, on 30 days' notice; in that case we refund the unused part of any amount paid in advance.

The clauses on limitation of liability, intellectual property and governing law survive termination.

15. Personal data

We process personal data as described in the Privacy policy. If you need a data processing agreement you can request one at the contact address.

16. Changes to the terms

We may change these terms. The version in force is the one published on this page, with its date of last update. Material changes are communicated to you by email at least 15 days before they apply. If you do not agree you may close the account before that date; using the Service afterwards means you accept the new version.

17. Force majeure

Neither party is liable for failing to perform its obligations because of an event beyond its reasonable control, including the unavailability of official sources, communications networks or infrastructure providers.

18. Governing law and disputes

These terms are governed by Romanian law. Any dispute not settled amicably falls within the jurisdiction of the Romanian courts at the Provider's professional seat.

19. Final provisions

These terms, together with the Refund policy, the Privacy policy and the Cookie policy, are the entire agreement between the parties concerning the Service. If a clause is held invalid the others remain in force, and the invalid clause is replaced by the valid one closest to its purpose.

You may not assign the contract without our consent. We may assign it as part of a reorganisation or a transfer of the business, with notice to you. Communications are made by email, to the account address and to the contact address above respectively.

These terms are drawn up in Romanian. In case of any discrepancy with a translation, the Romanian version prevails.
